CONSULTING AGREEMENT FORM

I have come to you ("you", "YOU", or "Consultant") for assistance in researching different franchise and business opportunities, with the goal of finding one that is consistent with my needs, goals, and expectations. I understand that:
  • You are an independent consultant affiliated with The Entrepreneur Authority ("TEA") and you may introduce opportunities to me, but it is my responsibility to investigate any opportunity you introduce to me.
  • You are relying on information about me, my resources, and my goals that I have been asked to provide to you.  The information I give you will be accurate and complete, and you may share that information with franchise/business opportunity sellers.
  • TEA has agreements with certain franchise/business opportunity sellers and other third parties and may receive a placement fee or finders fee if I purchase a franchise or business opportunity from one of them or use their services.
  • You and TEA do not sell any particular franchise and are not agents, employees, or representatives of any seller.  My discussions with you are solely for the purpose of exploring my options and not to discuss the purchase or sale of a particular franchise or business opportunity.  Those discussions can only take place with each seller.
  • Neither you nor TEA guarantee the accuracy or completeness of the information provided to me by a seller, and you and TEA assume no responsibility for the acts, errors, or omissions of the seller, or the outcome of any opportunity that I may choose to purchase.
  • Buying a franchise is a complex process and You and TEA strongly recommend I seek the advice of a franchise attorney and small business Accountant before making a purchase.
  • By law, you are not allowed to provide me any earnings claim information, whatsoever.  That information can only be obtained from the FDD of the franchisor (if applicable) or any research I do with franchises or any such methods.
If you and I have a disagreement that we cannot resolve between us, we will:
  • First, submit the dispute to non-binding mediation to be conducted by one mediator who is appointed under the American Arbitration Association's ("AAA") Commercial Mediation Rules and who will conduct the mediation under those Rules.
  • If we cannot resolve our dispute within thirty (30) days after the mediator is appointed, we will submit the dispute for binding arbitration at the offices of the American Arbitration Association (“AAA”) nearest to your principal place of business.  A single arbitrator will conduct the arbitration under the Commercial Arbitration Rules of the AAA.  The arbitration will be limited to disputes between us and, unless TEA elects to intervene (which I agree it may do), will not be expanded to include any other party, or to include the adjudication of class action claims.
You have made no statements that contradict this Acknowledgment, and I agree to release and hold harmless you, TEA, and all other TEA consultants in connection with any franchise/business opportunity transaction I may enter into.
